Who we are
We are Thatgood Ltd trading as "Rating Matters". Our company information is at the end of this document.
About this document
These are our legal "terms and conditions" which cover your use of our Service (which is explained below). Please read the entire document carefully and contact us if anything is unclear. We've tried to make it user-friendly but please note that the summaries and explanations for each section in capitals are not a substitute for the rest of the text. Please save a copy for future reference. These terms replace any previous versions.
Where you communicate with us on behalf of an organisation, you promise that you have authority to do so.

Changing these terms
We may update these terms from time to time. You will be bound by the new terms if you use our Service after they take effect.
Our Service
We are an introduction service, not surveyors. We do not provide professional or other advice.
We aim to provide our Service with reasonable skill and care. However, we do not promise that it will always be uninterrupted or error-free.
If you are an Occupier
We use publicly available data to carry out an automated review of your rateable value and indicate if we think that your assessment may be higher than local commercial evidence would suggest. If you request a free assessment, we will carry out an initial assessment and, if we think there is a credible case for reassessment, we will introduce you to a Surveyor.
Any savings figures that we provide on our website or in correspondence are simply estimates based on comparable evidence. You rely on them at your own risk. We make no promise regarding the likelihood of a successful rating valuation challenge. You should take advice from your Surveyor.
We will take reasonable care to ensure that any Surveyor to whom we introduce you is included in an official list of RICS-qualified ratings surveyors. We do not promise to carry out any particular background or other checks of Surveyors. You contract and deal with Surveyors at your own risk. You agree to satisfy yourself as to their suitability before you instruct them.
If you are a Surveyor
You warrant that you are a RICS-qualified ratings surveyor.
You agree that our introduction offer will be withdrawn if you do not accept it and pay the relevant fee within the time we specify.
You acknowledge that we make no promise regarding the likelihood of a successful rating valuation challenge and that our fee is not refundable in any circumstances, unless we agree otherwise in writing. It is your responsibility to satisfy yourself regarding the suitability of the case before you pay our fee and accept the introduction.
If you accept the introduction, you agree that within 10 business days you will contact the Occupier in writing to:
- explain whether you think a formal challenge is appropriate;
- if a challenge is appropriate, explain how your fees will work; and
- offer to answer any questions.
General
The terms of any contract between the Occupier and Surveyor are for the parties to agree except as follows, unless the parties agree otherwise in writing:
- the Surveyor's fees shall only be payable in the event of a successful rateable valuation challenge; and
- the Surveyor's fees shall not exceed 25% of the first year's saving.
Other people's services, advertising and websites
On our website we may display other people's services, advertising and/or links to other websites. We do not recommend or endorse, nor are we legally responsible for, any of these. You use them at your own risk.
If you create an account on our Service
Unless otherwise specifically stated on our Service, your account is for your personal use only and is non-transferable. You agree not to allow anyone else to use your account.
You agree to take reasonable care to keep your login information confidential and to tell us immediately of any apparent breach of security such as loss or misuse of a password. You are responsible for unauthorised people who use your account or identity.
Paying us - Surveyors only
Payment of introduction fees is in advance. Prices, and payment methods, are as explained on our Service. The prices shown exclude any applicable VAT or other sales tax unless we say otherwise.
Your potential 25% success fee is contingent on securing a reduction.
You agree that you are legally bound by the terms and conditions of any payment providers whose services you use on our Service. We are not responsible for what they do or do not do.
Our guidance
If we ourselves provide any general guidance or other similar information on or via our Service, we do not guarantee that it is accurate or up to date or relevant to you and we do not accept legal responsibility for it. Before acting on such information, you must make your own appropriate and careful enquiries including as to its accuracy and suitability for your purposes. The information is not intended as professional or other advice. You rely on such information at your own risk.
Liability and indemnity
Nothing in these terms in any way limits or excludes our liability for negligence causing death or personal injury or for fraud or fraudulent misrepresentation or for anything which may not legally be excluded or limited. In this section, any reference to us includes our officers, employees and subcontractors, who have the right to enforce these terms.
To the fullest extent allowed by law, you and we exclude all terms, conditions, warranties and representations howsoever arising, whether imposed by statute or by law or otherwise, that are not expressly stated in this agreement.
Subject to the first paragraph in this section ("Nothing in these terms ..."), we shall under no circumstances whatever be liable under or in connection with this agreement, whether in contract, tort (including negligence), misrepresentation, breach of statutory duty, or otherwise, for any:
- loss of profit; loss of data; loss of use; loss of production; loss of contract; loss of opportunity; loss of savings; or harm to reputation or loss of goodwill; or
- indirect, consequential or special losses.
Subject to the first paragraph in this section ("Nothing in these terms..."), our total liability in respect of all other losses arising under or in connection with this agreement whether in contract, tort (including negligence), misrepresentation, breach of statutory duty, or otherwise, for any act or omission or series of connected acts or omissions shall in no circumstances exceed the total fees paid or payable to us in connection with the relevant introduction or £250, whichever is lower.
You agree to indemnify us against all claims and liabilities arising out of or in connection with your use of our Service and/or breach of this agreement, except insofar as we are at fault.
This agreement constitutes the entire agreement between us with respect to its subject matter and supersedes any previous communications or agreements between us. We both acknowledge that there have been no misrepresentations and that neither of us has relied on any pre-contractual statements.

You may not assign or transfer any of your rights or obligations under this agreement without our prior consent in writing.
The failure of a party to exercise or enforce any right under this agreement shall not be deemed to be a waiver of that right nor operate to bar the exercise or enforcement of it at any time or times thereafter.
If any provision of this agreement is held to be unlawful, void or unenforceable in whole or in part, this agreement shall continue in force in relation to the unaffected provisions and the remainder of the provision in question, and the parties will renegotiate the offending provision in good faith to achieve the same objects.
Save insofar as expressly provided otherwise in this agreement, no third party may enforce any clause in this agreement under the Contracts (Rights of Third Parties) Act 1999.
The relationship of the parties is that of independent contractors. Except as otherwise stated in this agreement, nothing in this agreement shall constitute the parties as partners, joint venturers or co-owners, or constitute any party as the agent, employee or representative of the other(s), or empower any party to act for, bind or otherwise create or assume any obligation on behalf of the other(s), and no party shall hold itself out as having authority to do the same.
